These terms apply to contracts with entrepreneurs within the meaning of § 14 BGB who purchase licence quotas for the software Ovemio in order to issue them to their own customers — hereinafter partner. They are the "separate agreement" referred to in § 1 of our General Terms and Conditions. In the event of contradictions, these Partner Terms take precedence over the Terms and Conditions; in all other respects, the Terms and Conditions apply in addition.

The partner acts in its own name and for its own account. No commercial agency, employment or partnership relationship is created. The partner is not entitled to make declarations on our behalf.

§ 2 Subject matter of the contract

The subject matter is the purchase of licence quotas: the partner acquires a number of licences, which it generates individually via the portal and issues to its customers. Each licence issued in this way entitles the end customer to use on three devices.

In addition, the partner may distribute the software under its own name and its own logo (app generator, § 8). There is an entitlement to this only after separate activation.

The software is a player without any content of its own. Channels, films, playlists and server access are not the subject matter of this contract and are neither supplied nor brokered by us (§ 9).

§ 3 Quality: major version 1

What is owed is the base version of major version 1 of the software — all releases whose version number begins with "1." — with the range of functions described at the time of the quota purchase on ovemio.com/funktionen. This description constitutes the agreed quality.

Characteristics not mentioned there are not owed. Public statements by the partner to its customers do not extend the agreed quality (§ 6).

Premium services are functions that we offer separately for a fee and identify as an additional service subject to a charge. They are not part of the base version, even if they are described on ovemio.com/funktionen, and are not the subject matter of the quota purchase. There is currently one premium service: the "Main URL + additional URLs" function, i.e. the second to tenth server address of an access; the main URL itself is part of the base version.

§ 4 Updates and minimum maintenance

The base version is included in the quota price in all releases of major version 1 — bug fixes, security updates and new functions alike. No separate payment is due for updates to the base version within this major version.

Premium services (§ 3) are excluded from this. They are agreed and paid for separately; we state the price, term and cancellation before booking. The "Main URL + additional URLs" function is available until 30 September 2027 as an open beta free of charge.

Assured minimum maintenance: until 1 October 2028. We assure that we will maintain major version 1 at least until 1 October 2028. The reference date for the release of major version 1 is 1 September 2026; the assurance extends more than two years beyond that. It applies equally to every end customer licence issued and does not depend on the day on which the licence was issued. Maintenance comprises the remedying of defects that impair the agreed quality (§ 3), as well as security updates.

This assurance is an agreement on quality, not a guarantee within the meaning of § 276 para. 1 BGB.

After 1 October 2028, major version 1 will continue to be maintained as long as we do not discontinue it in accordance with § 5.

§ 5 Further development, successor product, discontinuation

We further develop the software at our own discretion. The partner has no entitlement to a particular function, a particular release or a particular schedule.

A major version 2 — releases whose version number begins with "2." — is a separate product. It is not covered by purchased quotas of major version 1 and would have to be acquired separately. Whether, when and on what terms it will appear has not been determined.

Discontinuation no earlier than after 1 October 2028. We may discontinue the maintenance of major version 1 or replace it with a successor product, but not before the end of the minimum maintenance under § 4. A discontinuation therefore cannot shorten the assurance under § 4. We will notify the partner of the discontinuation in text form.

Licences already issued remain usable after a discontinuation. The discontinuation concerns maintenance, not the right of use.

From the notification onwards, the partner can no longer purchase any further quota of major version 1. Licences already paid for but not yet issued will be refunded by us on request pro rata at the purchase price.

§ 6 Contracts between the partner and its customers

The partner concludes its own contracts with its customers. It is obliged to design them in such a way that they do not promise more than it is entitled to under §§ 3 to 5. In particular:

If the partner promises more to its customers, this is solely its own entrepreneurial risk. No claim against us arises from this, including no claim for compensation for lost profits.

§ 7 Advertising claims and identifying marks

The partner advertises its own offering. The following applies:

We do not grant the partner any right to our identifying marks. It advertises under its own name; a reference to the technical basis is permitted, a presentation as our representative or offshoot is not.

§ 8 App generator and signing key

The app generator is activated after review of the access and on a case-by-case basis. There is no entitlement to activation. The reason for the review is that an app distributed under another name places our underlying platform on the market.

Each partner receives its own signing key. It must be treated confidentially and may not be passed on.

We may revoke the activation if the partner materially breaches § 7 or § 9. Before revocation, we will request a remedy, where this is possible and reasonable. Apps already distributed and licences already issued remain unaffected.

TMDB key. If the partner stores a TMDB key that is built into its app or transmitted to its customers' devices via remote setup, it is solely responsible for its use. Passing it on to paying customers constitutes commercial use under the TMDB terms of use and requires a separate written agreement between the partner and TMDB. The partner uses a free key only for internal testing and development purposes. If it does not store one, the TMDB information in its app remains empty, and its customers can enter their own.

§ 9 Content and lawfulness

We do not supply any content, playlists or server access and do not broker any. The partner or its customers decide for themselves which sources they enter.

The partner warrants that its own offering — including the sources that it provides or recommends to its customers — is lawful and that it is entitled to distribute it.

We may block the quota and access if there are specific indications of a material violation of the law. Before blocking, a request to remedy the violation is made, where possible and reasonable.

§ 10 Indemnification

The partner indemnifies us against claims by third parties based on the fact that

The indemnification includes the reasonable costs of legal defence. We will inform the partner without undue delay of any claim asserted, enable it to conduct the defence and not make any acknowledgement without its consent.

§ 11 Prices, payment, quota

The graduated prices for quotas are available to the partner after logging in to the portal. They are final prices; they include statutory value added tax where applicable. We will issue an invoice showing value added tax on request.

The quota is activated after receipt of payment. Generated licences are deducted from the quota; a return of generated licences is not provided for except in the case of § 5. Quotas do not expire.

There is no right of withdrawal, as the partner acts as an entrepreneur.

§ 12 Defects and liability

The statutory provisions apply to defects, subject to § 3 (agreed quality). The partner must give notice of obvious defects without undue delay.

We are liable without limitation in cases of intent and gross negligence, in cases of injury to life, body or health, where a guarantee has been assumed, and under the German Product Liability Act (Produkthaftungsgesetz).

In the event of a slightly negligent breach of an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the partner may rely, liability is limited to the damage typical for the contract and foreseeable at the time the contract was concluded. In all other respects, liability is excluded.

We are not liable for lost profits of the partner arising from its own commitments to its customers that go beyond §§ 3 to 5.

§ 13 Term and termination

The contract runs for an indefinite period. Either party may terminate it with three months' notice to the end of a month in text form; the right to extraordinary termination for good cause remains unaffected.

After termination, the partner does not generate any further licences. End customer licences already issued remain valid and continue to be maintained in accordance with § 4. We will refund unissued quota licences pro rata in the event of termination by us; in the event of termination by the partner, they do not expire, but can no longer be issued.

§ 14 Confidentiality and data protection

Both parties treat prices, conditions and technical documents that are not public as confidential.

The partner is responsible for the data of its own customers. Insofar as we process personal data on its behalf in this context, the parties will conclude an agreement pursuant to Art. 28 DSGVO (GDPR). In all other respects, our privacy policy applies.

§ 15 Final provisions

We will notify changes to these terms in text form. If the partner does not object within six weeks, they are deemed accepted; we will point this out separately in the notification. If it objects, the previous terms continue to apply, and either party may terminate in accordance with § 13.

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from the contractual relationship is Hungen, insofar as the partner is a merchant, a legal entity under public law or a special fund under public law.

There are no oral collateral agreements. If any provision is invalid, the validity of the remaining provisions remains unaffected.
